Contracts & Trade Compliance Manager

PWM Dynamics is seeking an experienced Contracts & Trade Compliance Manager to support defense, aerospace, and strategic industrial programs. This role will review contractual and trade-compliance requirements, identify risks, support negotiations, and ensure key obligations are understood before and after award.

Responsibilities

Review RFQs, RFPs, contracts, NDAs, purchase orders, subcontract terms and customer requirements.

Identify risks related to commercial terms, delivery, warranties, liability, intellectual property, confidentiality and contractual flow-downs.

Support trade compliance, controlled technical data, confidentiality and customer-specific requirements.

Draft and negotiate contract comments, exceptions and proposed terms.

Maintain contract review checklists, clause summaries, approval workflows and records.

Work with pricing, proposals, engineering, supply chain and leadership to align contractual commitments with company capabilities.

Support transition from bid to contract execution by documenting obligations and negotiated terms.

Engage external legal or specialist advisors when required.

Qualifications

5+ years of experience in contracts, commercial management, procurement risk, trade compliance or a related field.

Strong contract review, issue-spotting, negotiation and documentation skills.

Understanding of commercial terms, confidentiality, intellectual property, warranties, indemnities and liability.

Ability to translate complex contractual requirements into practical business guidance.

Strong communication, organization and judgment with sensitive information.

Preferred

Defense, aerospace, regulated manufacturing or export-related experience.

Knowledge of Canadian defense procurement or cross-border trade requirements.

Contract management, legal, compliance or procurement certification is an asset.
